1. Definitions
For purposes of these Terms & Conditions ("Terms"), the following definitions apply:
- AI Model: Machine learning algorithms and neural networks used to process Configuration Data and generate insights, recommendations, and outputs.
- Affiliates: Any entity that controls, is controlled by, or is under common control with the Customer or VirtualFusion, as applicable.
- Beta: A pre-release version of the Platform offered for testing, evaluation, and feedback purposes.
- Confidential Information: Non-public information disclosed by either party marked as confidential or reasonably understood to be confidential by its nature or circumstances of disclosure.
- Configuration Data: Any files, network configurations, device settings, or metadata uploaded to the Platform by the Customer.
- Customer: The enterprise user, organization, or entity entering into agreement to use the Platform.
- Derived Data: Insights, analytics, and intelligence generated from processing multiple data sources, excluding any identifiable Customer Configuration Data or Personal Data.
- Metadata: System logs, usage analytics, performance metrics, and other data about data.
- MVP: Minimum Viable Product version of the Platform provided on a limited availability basis.
- Output Data: Any network documentation, reports, visualizations, recommendations, or other content generated by the Platform based on uploaded Configuration Data and Third-Party Data.
- Personal Data: Any information relating to an identified or identifiable individual, as defined by applicable data protection laws (e.g., GDPR, CCPA, UAE PDPL).
- Platform: The AI-powered SaaS and on-premises system developed by VirtualFusion, including all features, functions, and interfaces.
- Processing: Any operation performed on data including collection, analysis, storage, transformation, transmission, and deletion.
- Security Incident: Any unauthorized access, disclosure, or compromise of Customer data or Platform security.
- Third-Party Data: External vendor databases, EOX information, PSIRT advisories, security bulletins, and other non-Customer sourced information, subject to applicable third-party licensing terms.
2. MVP Disclaimer and Use Limitations
2.1 Beta Status
The Platform is provided “AS-IS” and “AS-AVAILABLE” as part of an MVP Beta program, without warranties of any kind, express or implied. Features may be incomplete, contain errors, produce inaccurate results, or be discontinued without notice. The Platform may experience interruptions or data loss and is not certified for regulatory compliance (e.g., SOC2, ISO27001). It is not intended for mission-critical operations or production environments requiring high availability or reliability.
2.2 AI-Specific Limitations
Customer acknowledges and agrees that:
- AI models may generate incorrect, incomplete, or misleading outputs (commonly known as “hallucinations”);
- Outputs may not reflect current network states, configurations, or real-time conditions;
- Recommendations are not substitutes for professional engineering judgment or vendor-certified guidance;
- Pattern recognition may fail on novel, complex, or non-standard configurations;
- AI behavior may be unpredictable, and results may vary even with identical inputs;
- The Platform cannot guarantee detection of all security vulnerabilities or configuration issues.
The Platform’s AI-generated insights are experimental and probabilistic, not deterministic. They are not guaranteed to reflect network reality or vendor-approved practices, and must be validated by certified network engineers.
2.3 No Reliance
Customer must independently verify all outputs, recommendations, and reports before implementation. VirtualFusion expressly disclaims all liability for decisions, actions, or omissions based on Platform outputs. The Platform is not intended for operational, financial, legal, or regulatory decisions without independent validation by qualified professionals.
2.4 Usage Restrictions
“Limited production use” means deployment only in non-critical environments with mandatory oversight by certified network engineers. Customer shall not use the Platform for:
- Life-critical or safety-critical systems;
- Financial trading or real-time transaction systems;
- Medical devices or healthcare critical infrastructure;
- Any system where failure could result in injury, significant financial loss, or regulatory non-compliance.
3. Customer Obligations
3.1 General Obligations
The Customer agrees to:
- Upload only authorized Configuration Data that has been anonymized to remove Personal Data and sensitive information (e.g., IP addresses, credentials) unless explicitly required by the Platform’s functionality;
- Use the Platform solely for internal IT operations, network management, and cybersecurity purposes;
- Validate all generated reports, documentation, and outputs by certified professionals before taking any action;
- Assume responsibility for verifying the accuracy and suitability of Platform outputs, subject to applicable law;
- Maintain adequate backups of all Configuration Data;
- Comply with all applicable laws and regulations;
- Promptly notify VirtualFusion of any Security Incidents at security@virtualfusion.ai within 24 hours of discovery.
3.2 Prohibited Activities
Customer shall not:
- Upload malicious code, viruses, or any harmful content;
- Attempt to probe, scan, or test Platform vulnerabilities;
- Use the Platform to monitor unauthorized third-party networks;
- Circumvent usage limits or access restrictions;
- Share login credentials or allow unauthorized access;
- Use the Platform for illegal activities or purposes.
3.3 Customer Representations and Warranties
Customer represents and warrants that:
- It has all necessary rights, permissions, and authority to upload Configuration Data;
- Configuration Data does not violate any third-party intellectual property rights;
- It will not upload data subject to special regulatory requirements without prior written agreement;
- It maintains appropriate technical and organizational security measures;
- It will comply with all applicable export control laws and sanctions;
- All information provided to VirtualFusion is accurate and complete.
3.4 Customer Indemnification
Customer shall defend, indemnify, and hold harmless VirtualFusion, its Affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Customer’s breach of these Terms;
- Customer’s use or misuse of the Platform;
- Violation of any third-party rights;
- Customer’s Configuration Data;
- Any negligent or wrongful acts or omissions by Customer, except to the extent caused by VirtualFusion’s gross negligence or willful misconduct.
4. Data Handling, Privacy and Security
4.1 Data Classification
- Configuration Data: Customer-owned network configurations, device settings, and related files.
- Metadata: System logs, usage analytics, performance metrics, access logs.
- Third-Party Data: Vendor databases, security advisories, EOX information.
- Derived Data: Insights and analytics generated from processing multiple data sources.
4.2 Data Processing
- Purpose Limitation: Data will be processed solely for providing Platform functionality and agreed services;
- Data Minimization: Only necessary data will be collected and retained;
- Retention: Configuration Data and Personal Data will be deleted within fourteen (14) days of contract termination, unless otherwise required by applicable law;
- Aggregation Rights: VirtualFusion may use anonymized, aggregated data for product improvement and industry benchmarking, provided it cannot be re-identified;
- No Sale of Data: VirtualFusion will not sell Customer data to third parties.
4.3 Security Measures
VirtualFusion implements industry-standard security measures including:
- Encryption: industry-standard encryption protocols for data at rest and in transit;
- Access Controls: appropriate access control and authentication measures;
- Audit Logging: comprehensive system logging practices;
- Security Testing: regular security evaluations;
- Incident Response: breach notification timelines in accordance with applicable laws.
4.4 Cross-Border Data Transfers
- Standard Contractual Clauses will be implemented for EU-UAE transfers;
- Data localization options are available in UAE and EU data centers for regulated industries, subject to Customer selection;
- Customer consent is required for processing outside the selected region;
- Transfers comply with GDPR, CCPA, and UAE PDPL requirements.
4.5 Subprocessors
VirtualFusion uses authorized subprocessors to deliver platform services:
- a leading global cloud infrastructure provider – Cloud hosting and infrastructure (EU, UAE regions)
- third-party AI inference providers – AI model inference API (US-based)
- a global network security provider – DNS & edge security services
- a monitoring and debugging service provider – Error tracking and debugging
- a transactional email delivery provider – Transactional email delivery
- managed database service providers – Optional managed DB layers
VirtualFusion will provide 30 days’ advance notice of any new subprocessors via email or Platform notification. Customers may object in writing within 14 days of such notice. If the objection is not resolved in good faith, either party may terminate the Agreement under Section 10.2.
4.6 Data Ownership
- Configuration Data remains Customer property;
- Output Data belongs to Customer;
- VirtualFusion retains rights to Derived Data in anonymized form;
- Platform technology and algorithms remain VirtualFusion property.
4.7 Audit Rights
Customers may audit VirtualFusion’s data handling practices once per year, subject to 30 days’ written notice and a mutually agreed scope, at Customer’s expense.
4.8 Data Breach Notification
In the event of a Security Incident, VirtualFusion will notify the Customer within 72 hours of discovery, providing details of the breach, affected data, and mitigation steps, in compliance with applicable laws.
5. License Grants
5.1 Platform License
Subject to payment of fees and compliance with these Terms, VirtualFusion grants the Customer and its Affiliates a non-exclusive, non-transferable, revocable license to access and use the Platform during the Term solely for internal business purposes, in compliance with applicable export control laws (e.g., U.S. EAR, ITAR).
5.2 License Restrictions
Customer shall not:
- Reverse engineer, decompile, disassemble, or attempt to discover Platform source code;
- Create derivative works or competitive offerings based on the Platform;
- Perform benchmarking or comparative tests without written consent;
- Remove, alter, or obscure proprietary notices;
- Use the Platform for illegal purposes or unauthorized network monitoring;
- Exceed usage limits or circumvent technical restrictions;
- Sublicense, resell, or provide Platform access to third parties;
- Use the Platform to build or train competing AI models.
5.3 Third-Party Components
The Platform integrates certain open-source and third-party components licensed under their respective terms. Specific component names and versions are not disclosed in this public version. Full details can be provided to contracted customers or regulators upon request, in accordance with applicable compliance obligations.
5.4 Feedback License
Customer grants VirtualFusion a perpetual, irrevocable, worldwide, royalty-free license to use any feedback, suggestions, or recommendations for product improvement. Such use does not confer any IP rights to the Customer or imply compensation.
6. Functional Disclaimers and Limitations
6.1 General Disclaimer
All Platform features are provided “AS-IS” without warranties of any kind, express or implied. Features may be unavailable, discontinued, or produce inconsistent results during the Beta phase. The Platform is not certified for regulatory compliance (e.g., SOC2, ISO27001) and is not intended for mission-critical operations.
6.2 AI-Specific Disclaimers
The Platform’s AI features, including but not limited to the Config Viewer, Documentation Generation, Topology Mapping, Security Assessments, and AI Chatbot, are experimental and may:
- Generate incorrect, incomplete, or fabricated outputs (“hallucinations”);
- Fail to recognize non-standard configurations, proprietary extensions, or complex network states;
- Produce inconsistent results for identical inputs;
- Misinterpret technical or contextual requirements;
- Miss security vulnerabilities or configuration errors.
AI-generated outputs are probabilistic, not deterministic, and must be validated by certified network engineers before use. VirtualFusion disclaims all liability for decisions or actions based on AI-generated content.
6.3 Feature-Specific Limitations
Config Viewer:
- Parsing depends on configuration format consistency;
- May not recognize proprietary vendor extensions or custom syntax;
- Visual representations are interpretive, not authoritative;
- Does not validate configuration correctness or best practices.
Inventory & EOX:
- Third-party vendor data (e.g., Cisco EOX, PSIRT) may be outdated, incomplete, or inaccurate and is subject to third-party licensing terms;
- No guarantee of real-time accuracy or availability;
- Customer must verify with official vendor sources before procurement or decommissioning decisions;
- VirtualFusion is not liable for lifecycle or procurement decisions.
Documentation Generation (HLD/LLD):
- Auto-generated content requires professional review;
- Not suitable for regulatory compliance or audit without human verification;
- May contain errors, omissions, or outdated practices;
- Generated diagrams are approximations, not engineering drawings.
Topology Mapping:
- Visualizations are based on configuration parsing, not live discovery;
- May not reflect physical connectivity or traffic flows;
- Not suitable for change management without validation.
Security Assessments:
- Not a replacement for penetration testing or security audits;
- Advisory matching relies on public databases with potential delays;
- Cannot detect zero-day vulnerabilities or targeted threats;
- Remediation suggestions require expert review.
AI Chatbot:
- Responses may be plausible but incorrect;
- Not a substitute for vendor technical support or certified expertise;
- Does not constitute legal, financial, or engineering advice;
- May misinterpret context or technical nuance.
6.4 NO WARRANTY
VIRTUALFUSION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR UNINTERRUPTED SERVICE.
7. Third-Party Data and Services
7.1 Third-Party Data Sources
VirtualFusion incorporates Third-Party Data (e.g., Cisco EOX, PSIRT) under fair-use/public data exemptions or applicable licenses. Customers are responsible for ensuring they have the necessary rights or licenses to access such data through the Platform.
7.2 No Warranty on Third-Party Data
VirtualFusion does not warrant and explicitly disclaims liability for the accuracy, completeness, timeliness, or availability of Third-Party Data, which may be interrupted or unavailable due to third-party restrictions.
7.3 Customer Verification Required
Customer must independently verify all third-party data with original sources before making business decisions. VirtualFusion is not liable for any damages resulting from reliance on third-party data.
7.4 Third-Party Integrations
Integrations with third-party services may be subject to additional terms and conditions. Customer is responsible for compliance with all third-party terms.
8. Limitation of Liability
8.1 EXCLUSION OF DAMAGES
IN NO EVENT SHALL VIRTUALFUSION, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- NETWORK DOWNTIME, CONFIGURATION ERRORS, OR SYSTEM FAILURES;
- THIRD-PARTY CLAIMS OR DAMAGES;
- COSTS OF SUBSTITUTE SERVICES OR REPLACEMENT EQUIPMENT;
- ANY DAMAGES RESULTING FROM AI-GENERATED CONTENT OR RECOMMENDATIONS;
- FAILURE TO DETECT SECURITY VULNERABILITIES OR THREATS.
8.2 Cap on Liability
VirtualFusion’s total cumulative liability for all claims arising out of or related to these Terms shall not exceed the total fees paid by the Customer in the three (3) months preceding the claim.
8.3 Essential Purpose
These limitations apply even if VirtualFusion has been advised of the possibility of such damages and even if any remedy fails its essential purpose.
8.4 Exceptions
The limitations in this Section do not apply to:
- Liability for gross negligence or willful misconduct;
- Fraud or fraudulent misrepresentation;
- Breaches of confidentiality obligations (subject to a separate cap of $100,000);
- Indemnification obligations under Section 9;
- Any liability that cannot be excluded by applicable law.
9. Support and Service Levels
9.1 MVP Support
During the MVP/Beta period, support is provided on a best-effort basis via email during business hours (9:00 AM–5:00 PM GST, Monday–Friday, excluding UAE public holidays), as detailed in Appendix C. No SLAs or 24/7 support is available.
9.2 Enterprise Support
Enterprise SLAs and premium support are available under separate agreement. Contact sales@virtualfusion.ai for details.
9.3 Updates and Maintenance
VirtualFusion may perform maintenance with or without notice. No uptime guarantees during MVP/Beta period.
10. Term and Termination
10.1 Term
These Terms commence on the Effective Date and continue until terminated in accordance with this Section.
10.2 Termination for Convenience
These Terms may not be terminated for convenience during any active Subscription Term or committed service period, unless otherwise mutually agreed in writing.
For Customers on monthly billing cycles, either party may terminate the Terms at the end of the current billing month with at least thirty (30) days’ prior written notice.
For Customers under annual, multi-year, or enterprise commitments, early termination for convenience is not permitted except as explicitly stated in a separate Master Services Agreement or Order Form. Any early termination must be approved in writing by both parties and may be subject to early termination fees or prorated charges for committed usage.
10.3 Termination for Cause
Either party may terminate immediately upon written notice if the other party:
- Materially breaches these Terms and fails to cure within ten (10) days of notice;
- Becomes insolvent or subject to bankruptcy proceedings;
- Violates applicable laws or regulations.
VirtualFusion may suspend Customer access immediately upon suspicion of misuse, pending investigation.
10.4 Effect of Termination
Upon termination:
- Customer access to the Platform immediately ceases;
- Customer data will be deleted within fourteen (14) days unless legally required to retain, in compliance with GDPR, CCPA, and UAE PDPL;
- No refunds for partial months or unused services;
- Sections surviving termination continue in effect.
10.5 Data Export
Customer may request data export within fourteen (14) days of termination notice. VirtualFusion will provide data in a standard machine-readable format (e.g., JSON, CSV), subject to technical feasibility.
11. Intellectual Property
11.1 VirtualFusion IP
All VirtualFusion technology, algorithms, models, designs, interfaces, and know-how remain the exclusive property of VirtualFusion. No rights or licenses are granted except as expressly stated.
11.2 Customer IP
Customer retains ownership of Configuration Data and any pre-existing intellectual property. Customer grants VirtualFusion a limited license to process Configuration Data solely for service provision.
11.3 Output Ownership
Subject to VirtualFusion’s underlying IP rights, Customer owns Output Data and derivative works generated specifically for Customer. VirtualFusion retains ownership of underlying models, templates, and methodologies.
11.4 Improvements
VirtualFusion may develop improvements based on aggregated, anonymized usage patterns that do not infringe Customer’s IP rights or disclose identifiable data, without compensation to any Customer.
12. Confidentiality
12.1 Definition
Confidential Information includes all non-public information disclosed by either party that is marked confidential or would reasonably be considered confidential.
12.2 Obligations
Each party shall:
- Maintain confidentiality using at least reasonable care;
- Not disclose to third parties without written consent;
- Use only for purposes of these Terms;
- Limit access to those with need to know.
12.3 Exceptions
Obligations do not apply to information that:
- Is or becomes publicly available through no breach;
- Was rightfully known before disclosure;
- Is independently developed without use of Confidential Information;
- Must be disclosed by law with prompt notice to disclosing party.
12.4 Duration
Confidentiality obligations survive termination for three (3) years. Upon termination, each party shall return or destroy the other’s Confidential Information, except as required by law.
13. Indemnification
13.1 By Customer
Customer shall defend, indemnify, and hold harmless VirtualFusion, its Affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Customer’s breach of these Terms;
- Customer’s use or misuse of the Platform;
- Violation of any third-party rights;
- Customer’s Configuration Data;
- Any negligent or wrongful acts or omissions by Customer, except to the extent caused by VirtualFusion’s gross negligence or willful misconduct.
13.2 By VirtualFusion
VirtualFusion shall defend Customer against claims that the Platform infringes third-party intellectual property rights, excluding claims based on:
- Customer modifications or combinations;
- Use beyond the scope of the license;
- Use after notice to discontinue;
- Customer Configuration Data or Third-Party Data provided by Customer.
VirtualFusion’s indemnification liability is capped at the total fees paid by the Customer in the twelve (12) months preceding the claim.
13.3 Procedures
Indemnified party must:
- Promptly notify indemnifying party;
- Provide reasonable cooperation;
- Allow indemnifying party to control defense.
14. Export Compliance
14.1 Export Laws
Customer shall comply with all applicable export control laws, including U.S. Export Administration Regulations (EAR) and sanctions programs. VirtualFusion warrants that the Platform complies with applicable export control laws as of the Effective Date.
14.2 Restrictions
Customer shall not export or re-export the Platform to prohibited countries, entities, or individuals without required licenses.
14.3 Certifications
Customer certifies it is not on any prohibited party lists and will not use the Platform for prohibited end uses. VirtualFusion will notify Customer of any changes to the Platform’s export control status.
15. Anti-Corruption
Both parties shall comply with applicable anti-corruption laws, including the U.S. Foreign Corrupt Practices Act and UK Bribery Act. Each party shall promptly report any suspected violations to the other party at legal@virtualfusion.ai.
16. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, strikes, or internet/infrastructure outages, provided the affected party promptly notifies the other. Payment obligations are not excused.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), UAE, without regard to conflict of law principles, except where mandatory local laws apply (e.g., GDPR for EU Customers, CCPA for US Customers).
17.2 Arbitration
All disputes shall be resolved through binding arbitration under the Dubai International Arbitration Centre (DIAC) Rules, conducted in English by a single arbitrator, with the seat in Dubai, UAE. The proceedings shall be confidential, and the award shall be final and binding.
17.3 Injunctive Relief
Either party may seek injunctive relief in courts of competent jurisdiction for IP violations or breaches of confidentiality.
17.4 Class Action Waiver
Parties waive any right to bring claims on a class or representative basis.
18. Regulatory Compliance
18.1 General Compliance
Each party shall comply with all applicable laws and regulations in performance of these Terms.
18.2 Industry-Specific Disclaimer
Platform is not certified for regulated industries including healthcare (HIPAA), payment cards (PCI-DSS), or financial services (SOX). Customer is solely responsible for industry-specific compliance.
18.3 Audit Rights and Compliance Assistance
Customers may audit VirtualFusion’s compliance with data protection laws once per year, subject to 30 days’ written notice and a mutually agreed scope, at Customer’s expense. VirtualFusion will provide reasonable assistance to Customer in meeting its compliance obligations under applicable laws (e.g., GDPR Article 28, CCPA).
19. General Provisions
19.1 Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior agreements regarding the subject matter.
19.2 Amendment
VirtualFusion may modify these Terms with 30 days’ notice. Continued use constitutes acceptance. Customers may terminate within 14 days if the changes materially adversely affect their rights, per Section 10.2.
19.3 Assignment
Customer may not assign these Terms without written consent. VirtualFusion may assign to an affiliate or successor.
19.4 Severability
If any provision is invalid or unenforceable, the remainder continues in full force.
19.5 Waiver
No waiver is effective unless in writing. Failure to enforce is not a waiver.
19.6 Survival
Sections relating to IP, confidentiality, liability, indemnification, and general provisions survive termination.
19.7 Notices
Notices must be in writing to:

- Customer: Email address on account
19.8 Relationship
Parties are independent contractors. Nothing creates partnership, joint venture, or agency.
19.9 Publicity
Neither party may use the other’s name or marks without written consent, except VirtualFusion may list Customer as a user.
19.10 Counterparts
These Terms may be executed in counterparts, including electronic signatures.
19.11 Insurance
VirtualFusion shall maintain commercially reasonable insurance coverage, including general liability and cyber liability insurance, during the Term.

This appendix describes the general deployment options available for the Platform, including cloud, on-premises, and hybrid models. Specific infrastructure providers and compliance certifications may vary depending on the customer's selected deployment and applicable jurisdiction.

Appendix D – Acceptable Use Policy
Prohibited activities include unauthorized access to networks, reverse engineering of the Platform, circumventing technical controls, using outputs in safety-critical systems, uploading malicious content, and violations of applicable laws or regulations.
Prohibited Activities Include:
- Uploading configurations from unauthorized networks;
- Using the Platform for competitive analysis without consent;
- Attempting to reverse engineer AI models or algorithms;
- Sharing account credentials or API keys;
- Circumventing rate limits or usage restrictions;
- Using outputs for life-critical or safety-critical decisions;
- Uploading known malicious configurations or code;
- Violating any applicable laws or regulations.
Customers shall report any known or suspected violations to security@virtualfusion.ai within 24 hours.
Appendix E – Data Processing Agreement (Summary)
This appendix outlines key provisions from the Data Processing Agreement, including the roles of the parties, processing limitations, data protection measures, data deletion or return upon termination, and customer rights to audit compliance. The complete Data Processing Agreement is available upon request.
Key provisions include:
- VirtualFusion acts as Data Processor for Customer Configuration Data;
- Processing only per documented Customer instructions;
- Implementation of appropriate technical and organizational measures;
- Assistance with Customer’s compliance obligations, including data subject rights under GDPR Articles 15–22;

- Right to audit compliance (with reasonable notice).
